This Agreement is entered into between KITSS BV ("Licensor") and the end user ("Licensee") for the use of UUID software ("Software").
Licensor grants to Licensee a non-exclusive, non-transferable, limited license to use the Software for its internal business purposes only. Licensee may use the Software only in accordance with the documentation and Licensee shall not sublicense, lease, or otherwise transfer the Software to any third party.
Licensee acknowledges that the Software is a no-code frontend and that it requires configuration to create a fitting application for the end user. The configuration process is the responsibility of the Licensee and the Licensor shall not be liable for any errors, omissions, or inaccuracies resulting from the Licensee's configuration.
Licensor owns all right, title, and interest in and to the Software, including all intellectual property rights, and Licensee acknowledges that it acquires no ownership interest in the Software under this Agreement.
Licensee shall not copy, modify, reverse engineer, decompile, or create derivative works of the Software. Licensee shall not use the Software for any illegal or unauthorized purpose.
Licensor provides support and maintenance for the Software to Licensee through email, phone or ticketing system. Licensee shall have access to Licensor's support and maintenance services for one year from the date of purchase of the license.
This Agreement shall remain in effect for one year from the date of purchase of the license. Either party may terminate this Agreement upon written notice if the other party breaches any material provision of this Agreement.
Licensee shall indemnify, defend, and hold harmless Licensor, its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or in connection with Licensee's use of the Software.
This Agreement shall be governed by and construed in accordance with the laws of the European Union. Any dispute arising out of or in connection with this Agreement shall be resolved in accordance with the dispute resolution procedures set forth in this Agreement.
